Well actually that is adware...
And usually they show ads for some fake virusscanner or something to show even more ads.
And I'm sure people will click them. Hell, my brother once opened a file he got sent over IM named photo1.com... Luckily I was the one doing his pc security :P
Anyway spyware spies on you. Can be relatively harmless, like checking the pages you browse, but sometimes they monitor more personal information (like any information you inter into forms on the internet, although those are usually called something worse than just spyware).
